Version 2026-05-28
Terms and Conditions
These Terms govern access to and use of Quotly, a platform for capturing reading notes, organizing them, and transforming them with artificial intelligence tools.
Last updated: October 14, 2026
1. Acceptance of the Terms
By creating an account, signing in, uploading content, or using Quotly, you accept these Terms and our Privacy Policy. If you use Quotly on behalf of an organization, you represent that you have authority to accept these Terms for that organization.
If you do not accept these Terms, you must not use the platform. Quotly may update these Terms when necessary; continued use of the platform after changes are posted means you accept the updated version, unless applicable law requires another form of consent.
2. What Quotly Is
Quotly lets users register books, upload or take photos of pages, extract notes or annotations using OCR and AI, add manual notes, organize content by books or chapters, generate summaries, flashcards, infographics, exports, and chat with an AI assistant about their notes.
The platform may evolve, include beta features, change names, limit features, modify flows, or stop offering certain functionality without creating an obligation to maintain any specific feature indefinitely.
3. Account, Access, and Eligibility
You must provide accurate information and keep confidential the credentials or Google access used to sign in. You are responsible for all activity under your account, except where caused exclusively by Quotly.
You must be at least 13 years old or the minimum age required by applicable law to use online services. If you are a minor in your jurisdiction, you may use Quotly only with authorization and supervision from a parent or legal guardian.
4. Your Content and License
You retain whatever rights you have in the texts, photos, notes, personal notes, book data, prompts, and any other material you upload to or generate in Quotly. Quotly does not acquire ownership of your content merely by hosting it.
However, to operate, protect, maintain, improve, and develop Quotly and related products or features, you grant us a worldwide, non-exclusive, royalty-free license, transferable to technical providers and sublicensable as needed to host, copy, process, analyze, transform, display, transmit, back up, and generate outputs from your content.
We may also use aggregated, anonymized, or de-identified data derived from use of the platform for analytics, research, service improvement, new feature development, and commercial purposes, provided it does not reasonably identify a specific user.
You represent that you have the rights, permissions, or legal exceptions needed to upload and process the content you submit. You must not upload complete books, extensive protected text, third-party confidential content, or materials that infringe copyright, privacy, trade secret, or other rights.
5. AI, OCR, and Generated Outputs
OCR, chat, summaries, flashcards, infographics, information extraction, and suggestions are generated in whole or in part by automated systems and AI providers. Outputs may contain errors, omissions, incorrect interpretations, invented content, or outdated information.
Quotly does not guarantee accuracy, completeness, availability, originality, academic suitability, or fitness for a specific purpose of generated outputs. You must review any output before studying it, sharing it, publishing it, or making decisions based on it.
Quotly does not provide legal, medical, financial, psychological, professional academic, or other regulated advice. AI outputs are support tools and do not replace your judgment or review by qualified professionals.
6. Permitted Use and Restrictions
- Do not use Quotly for illegal, harmful, fraudulent, defamatory, discriminatory, violent, or rights-infringing activity.
- Do not upload malware, abusive material, unnecessary sensitive data, credentials, third-party trade secrets, or information you are not authorized to process.
- Do not attempt to bypass usage limits, quotas, security measures, authentication, plan restrictions, or AI provider policies.
- Do not perform abusive scraping, automate mass requests, resell unauthorized access, copy the interface, or reverse engineer the platform unless expressly authorized in writing.
- Do not use Quotly to reproduce, distribute, or reconstruct protected works in a way that infringes copyright or third-party terms.
7. Plans, Limits, and Payments
Quotly may offer free plans, paid plans, trials, credits, monthly limits, photo quotas, message quotas, generation quotas, storage limits, or export limits. We may change, introduce, or remove plans and limits at any time, subject to applicable legal obligations.
If payments are enabled, pricing, taxes, renewals, cancellations, and refunds will be disclosed in the relevant flow. Unless required by law, payments for periods already started or usage already consumed are not refundable.
8. Availability, Changes, and Data Loss
Quotly is provided "as is" and "as available." We may perform maintenance, suspend features, change providers, limit access, or temporarily interrupt the service for technical, business, legal, or security reasons.
Although we apply reasonable backup and security measures, we do not guarantee uninterrupted service or that data will never be lost, corrupted, or deleted. You should keep your own copies of important content you cannot afford to lose.
9. Moderation, Suspension, and Termination
We may review, block, remove, or limit content and suspend or close accounts when we reasonably believe there is abuse, legal risk, security risk, violation of these Terms, excessive use, authority request, or impact on Quotly operations.
You may also stop using the platform or request account deletion where applicable. Some residual copies may remain temporarily in backups, security logs, or documents needed to comply with legal obligations.
10. Quotly Intellectual Property
Quotly, its software, design, interface, brand, logos, workflows, organization models, internal prompts, documentation, and other platform elements belong to Quotly or its licensors. These Terms do not grant you rights over Quotly branding, source code, or technology.
11. Providers and Third-Party Services
Quotly operates with third-party services for authentication, database, storage, hosting, analytics, AI generation, image processing, and technical content delivery. These may include Google, Neon, Google Cloud, and Gemini models.
Use of those services may be subject to third-party terms, policies, limits, and availability. Quotly does not control all acts, changes, incidents, or commercial decisions of those providers.
12. Limitation of Liability
To the maximum extent permitted by law, Quotly will not be liable for indirect, incidental, special, punitive, or consequential damages, lost profits, data loss, interruptions, AI errors, user decisions, user infringements, or third-party claims arising from your content or use of the platform.
To the maximum extent permitted by law, Quotly’s total cumulative liability to you for any claim related to the platform will be limited to the amount you actually paid Quotly during the three months before the event giving rise to the claim or, if you paid nothing, USD 50.
13. Indemnity
You agree to defend, indemnify, and hold harmless Quotly, its operators, collaborators, providers, and affiliates from claims, damages, losses, costs, and expenses arising from your content, misuse of the platform, violation of these Terms, or infringement of third-party rights.
14. Governing Law, Claims, and Contact
These Terms will be interpreted under the laws of the domicile of Quotly’s operator, without prejudice to mandatory consumer rights that may apply under applicable law. Any dispute will be submitted to the competent courts of the operator’s domicile unless a mandatory rule provides otherwise.
For legal questions, privacy requests, or claims, use the support channels available in the platform or the official contact method published by Quotly for that purpose.
